Partner Buyouts and Succession in Bee Cave
When one partner wants out, or the next owner needs to step in, the hard part is agreeing on a number and getting the paperwork right. We set a fair value, work out the terms and keep the deal moving until the shares change hands.

A buyout is a sale between people who already know each other
That makes it easier in some ways and harder in others. You skip the hunt for a stranger to buy in. But you bring years of history to the table, and one side often thinks the business is worth twice what the other side does. We step in as the neutral party who puts real numbers on it.
Most buyouts and successions run on documents you may not have read in years: an operating agreement, a partnership agreement or a buy-sell clause. These set the rules. Some name a price formula. Some require notice periods or a right of first refusal. We read what you have, explain in plain words what it requires, and build the deal to fit it. Your attorney and CPA handle the legal and tax side, and we keep them working off the same numbers.
Succession works the same way. A family member, a key employee or a group of managers takes over. The steps are known. Skipping one is what causes trouble at closing.
What the work covers when partners split or hand off
One set of numbers for every owner
We work up a value from the books, cash flow and hard assets. Every owner gets the same method and the same figures, so the conversation stays on facts, not feelings.
A read of your existing agreements
We go through your buy-sell terms, ownership percentages and any price formula already on paper. If the formula is outdated or unclear, we tell you so before anyone signs.
Deal structure and terms
Cash at closing, seller notes, earnouts or a staged buyout over a few years. We put the options side by side and show how each one lands for the owner who exits and the owner who keeps running the business.
Financing for the buyer
Many buyers need a loan to buy out a partner. We help put together the financials a lender will ask for. Our Acquisition Financing Guidance page covers this in more detail.
Transfers and closing checklist
Leases, vendor accounts, permits and business licenses often need consent or new filings when ownership changes. We list each one, who has to sign and when, so nothing stalls the closing.
When a buyout or succession plan is overdue
Someone has said they want out
Retirement, a move or a new venture. Once a partner says it, the deal is already underway in their head. Starting early gives you time to fund it properly.
You disagree about where the business goes
When partners stop pulling the same way, the business pays for it. A clean buyout is often better for everyone than years of friction.
Your buy-sell agreement is old or missing
A price formula written ten years ago rarely fits today. No agreement at all is worse.
There is no named successor
If the business depends on you and nobody is ready to take over, its value walks out the door with you. A succession plan fixes that.
A health scare or family change
Death, divorce or disability can force a sale on short notice. Having a valuation and a plan in place protects the business and the people in it.
The steps from first call to closing
- 1
Start with a private conversation
Walk us through the ownership split, who is leaving and what your agreements say. Nothing you share goes anywhere without your say-so.
- 2
Numbers and paperwork
You send the last several years of tax returns and profit-and-loss statements, along with your ownership documents. We work up the value and point out any clause that limits how the deal can be done.
- 3
Terms both partners can live with
We meet with each side, by phone, by video or at our office, and work toward a price and payment plan. When talks get tense, we keep them on the numbers.
- 4
Financing, transfers and closing
We help line up the loan if one is needed, track consents and filings, and work with your attorney and CPA through signing. The deal closes when every item on the list is done.
What changes the cost of a buyout
Nothing is due at the start. We are paid from the deal when it closes, only once the seller is paid. You sign no retainer and find no hidden fees later. How much work a buyout needs comes down to a few things.
- Size of the business
- More than one location, income from several sources or a building included in the deal each mean more valuation work and more documents.
- How many owners
- Settling up between two partners is easier than sorting out four owners who hold different shares and want different things.
- Shape of the records
- Up-to-date, tidy financials move things along. Personal costs mixed in with business ones take time to untangle.
- How the money is paid
- Paying all cash closes quickest. Seller notes, earnouts or a bank loan bring extra steps and documents.
Partner buyout and succession questions
Something not covered here? (512) 872-5513
Do you work for me or for my partner?
We are clear about that from the first call. In many buyouts we are hired by the business or by one side, and we say so. Either way, we use one valuation method that both partners can see and check.
Our agreement already has a price formula. Do we still need a valuation?
Usually, yes. Many formulas use a fixed number or a multiple that no longer fits the business. A current valuation shows whether the formula is fair, and gives you grounds to update it if both partners agree.
Can the buyer pay me over time?
Yes. Seller notes and staged buyouts are common. We help set the payment schedule, interest and what happens if payments stop, then your attorney writes it into the final documents.
How long does a partner buyout take?
It depends on how fast the partners agree and whether a lender is involved. A friendly buyout with clean books moves much faster than one that needs bank financing and several consents. We give you a realistic timeline after the first review.
Can you help pass the business to a family member or employee?
Yes. Succession to family or key staff follows many of the same steps as a partner buyout. Our Exit Planning page covers the longer view if you are still a few years out.
